Software License Agreement

Effective Date: 1st March 2026

This Software License Agreement ("Agreement") is between you ("Client") and Expert Trade Global Resources Nigeria Limited (ETGR). By installing, accessing, or using ETGR software, you agree to be bound by this Agreement.

1. License Grant

ETGR grants the Client a limited, non-exclusive, non-transferable license to use the software strictly for internal business or institutional operations. Ownership of the software remains with ETGR at all times.

2. Restrictions

• You may not copy, clone, resell, or redistribute the software.
• You may not modify, reverse-engineer, or decompile the software.
• You may not remove copyright or branding.
• You may not allow unauthorized persons to use the software.

3. Payment and Subscription

• License is valid only while payments or subscriptions remain active.
• Failure to pay may result in suspension or termination.
• All payments are non-refundable unless stated in writing.

4. Data Ownership

Client data remains the property of the Client. ETGR acts only as a data processor and provides secure storage and protection systems.

5. System Updates

ETGR may provide updates, patches, or upgrades at its discretion. Some updates may require system downtime.

6. Termination

ETGR may terminate this license if the Client violates this Agreement. Upon termination, the Client must cease use of the software immediately.

7. Limitation of Liability

ETGR shall not be liable for any indirect, incidental, or consequential damages including data loss, profit loss, or system interruption.

8. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
