Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of all websites, software applications, and services provided by Expert Trade Global Resources Nigeria Limited (ETGR). By accessing or using ETGR systems, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use of our services immediately.

1. About ETGR

ETGR is a Nigerian technology company providing enterprise software and digital solutions including: School Management Systems, Hospital Management Systems, POS & Inventory Software, CCTV & Security Solutions, and other business and institutional platforms.

2. Scope of Services

ETGR provides software and related technical services based on contractual agreement with clients. Features, modules, and pricing may vary depending on the selected package or service plan. ETGR reserves the right to modify, upgrade, or discontinue any service feature at any time.

3. User Eligibility

You must be legally competent to enter into contracts under Nigerian law to use ETGR services. Institutions must ensure that only authorized staff access the systems.

4. User Obligations

Provide accurate and lawful information.
Maintain confidentiality of login credentials.
Use the system strictly for intended institutional or business purposes.
Comply with all applicable laws and regulations.
Prevent unauthorized access to ETGR systems.

5. Prohibited Conduct

Copying, cloning, modifying, or reverse engineering ETGR software.
Unauthorized resale or redistribution.
Attempting to hack, bypass, or exploit system security.
Uploading malware or harmful content.
Using the system for fraud or criminal activity.

6. Intellectual Property Rights

All software, source code, databases, logos, trademarks, and system designs remain the exclusive intellectual property of ETGR. Users are granted a limited, non-exclusive, non-transferable license to use the software during their subscription period. Ownership rights are not transferred to clients unless stated in a written agreement.

7. Data Protection

All data is processed in accordance with ETGR’s Privacy Policy and Data Policy. ETGR applies encryption and access control measures to protect data. Clients remain responsible for the accuracy and legality of the data they upload.

8. Fees and Payments

Some services require subscription or license fees.
All payments must be made in advance unless otherwise agreed.
Late payments may result in suspension of services.
All fees paid are non-refundable unless stated otherwise in writing.

9. Service Availability

ETGR aims to maintain high service uptime but does not guarantee uninterrupted availability. Services may be temporarily unavailable due to:

System maintenance
Security upgrades
Technical faults
Force majeure events

10. Limitation of Liability

ETGR shall not be liable for:

Loss of data due to user negligence.
Business interruption or profit loss.
Indirect or consequential damages.
Third-party system failures.

Maximum liability, if any, shall not exceed the amount paid by the client for the service in the preceding 12 months.

11. Indemnification

Clients agree to indemnify ETGR against claims arising from:

Illegal use of the system.
Violation of these Terms.
Improper handling of data.

12. Suspension and Termination

ETGR reserves the right to suspend or terminate service without notice if:

Payment obligations are breached.
Security is compromised.
Terms are violated.
Illegal activity is suspected.

13. Data Upon Termination

Upon termination:

Client may request export of their data.
ETGR may delete stored data after reasonable notice.
Archived backups may be retained for legal or security reasons.

14. Modifications to Terms

ETGR may update these Terms at any time. Continued use of ETGR systems constitutes acceptance of updated Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any dispute shall be resolved exclusively in Nigerian courts.
